By-Laws of Prescott Connections

PRESCOTT CONNECTIONS is a professional organization with the purpose of producing quality business referrals among members. As with any organization, it is necessary to set certain guidelines in an attempt to ensure the successful achievement of the club's goals. The following is an enumeration of the rules and regulations of PRESCOTT CONNECTIONS.

I. MEMBERSHIP

Membership is open to any business that would benefit from referrals. To avoid conflicts, only one business from each classification will be selected for membership.

Prospective members may attend one meeting as a guest of our organization and may give a 60 second commercial describing their business or service. At that first meeting the prospective member will be given an application for membership, a written introduction to prospective members, and a copy of these bylaws.

Upon making application for membership, the prospective member shall pay dues for the first month of membership plus a one-time set-up fee in such amount as may be determined by the membership from time to time. No application for membership shall be deemed complete, nor considered for approval, unless and until, accompanied by payment of the first month dues and the set-up fee. The Membership Committee shall review any completed application for membership, and will submit the application to the general membership at the next meeting for discussion and approval. The Vice-President will notify the applicant of acceptance or non-acceptance. If accepted for membership, the new member will be expected to attend the next meeting. If rejected, the treasurer shall return to the applicant the first month dues and set-up fee payment.

II. DUES

Monthly dues, in such amount as may be determined by the membership from time to time, are payable the first meeting in the month for the current month. If absent that day, the member shall mail payment to the treasurer. This money is used to cover the cost of lunch and is non-refundable if a member misses a meeting. Visitors (other than prospective members) will be charged the then current lunch fee to be paid to the treasurer at the time of the meeting. Should there be a surplus of funds throughout the year, the membership may vote to contribute to various local causes.

III. ATTENDANCE

Meetings are held every Wednesday at a local restaurant and begin promptly at 11:30 a.m. Members are encouraged to arrive early to greet each other and exchange referrals. If unable to attend a meeting, the member may send another representative in the member's place, so long as the representative has substantial knowledge of the members business, or shall call another club Member to notify him/her of the reason for the absence. If the member has more than 6 unexcused absences in a year, or a total of 12 absences, excused or unexcused, the membership may be terminated and made available to a new member in the same business classification.

IV. ARREARAGE IN DUES

As stated above dues are payable the first meeting of the month for the current month. After 60 days of non payment of dues (2 monthly payments), the member will be notified in writing by the treasurer of the arrears and the membership will be terminated if payment is not then received within 10 days.

V. REFERRALS

Referrals are leads for business opportunities given between members. This new business typically comes from those outside the club but when a member uses the business of another member for the first time on any matter, it will be counted as a referral. You may also count future referrals with members in the group if your business relationship is not set up on an on-going basis. Example: Chiropractic and Monthly Bookkeeping (on-going) Beauty Products and Clothes purchase (New order each time). It is recognized that all members do not have equal access to persons and situations that produce quality referrals but members are encouraged to set a goal of two quality referrals a month. If a member brings a qualified, prospective member, that shall also be credited as a referral.

VI. QUALITY REFERRALS

While it is acknowledged that not all referrals will have a positive outcome, a quality referral contains enough specific information to reasonably assume the referral will lead to some business for the member receiving it. All referrals should contain the contact's name, phone number and/or address and the area of interest or need. If you miss a meeting, call the vice president to see if you received any referrals that day. It is your responsibility to follow up on these referrals in a timely manner.

VII. SPEAKING RESPONSIBILITIES

Each member shall be periodically required to speak before the membership of PRESCOTT CONNECTIONS regarding some facet of his/her business. The purpose of this speaking opportunity is to acquaint the membership with your business so that they may have the knowledge required to give quality referrals. The secretary shall assign speaking dates by alphabetical order of business names. Adequate notice (2 weeks) will be given to any member asked to speak. The time allotted for each speaking assignment shall be fifteen (15) minutes. For those members not speaking, one minute will be allowed for a weekly business commercial.

VII. PROFESSIONAL COURTESIES

Professional courtesies are always appreciated. Please respect each member by being on time to meetings, listening while others are speaking and contributing in all ways possible to the furtherance of the club's success. Visitors and other members are interviewing a professional organization such as PRESCOTT CONNECTIONS at all times. We wish to always leave a favorable impression. We have found that it is possible to conduct our meetings in a professional manner and have fun at the same time. VIII. ELECTED OFFICERS

The elected officers of PRESCOTT CONNECTIONS are President, Vice- President and Secretary Treasurer. Each office shall have a 6-month term - January through June and July through December.

Elections will take place at the last meeting of a term during a quarterly business meeting.

IX. PRESIDENT

a. Shall conduct the weekly meetings starting promptly at 11:30 a.m. and shall hold members to the one-minute/ten-minute time limits when speaking.

b. Shall greet and shall inform all prospective members in attendance at a meeting of the names of the members of the Membership Committee, and shall instruct the prospective member that they may obtain a membership application from a member of the Membership Committee.

c. Shall appoint committees as necessary to carry on such duties necessary to the continuance of the organization.

d. Once a quarter, or as may be necessary, shall conduct a business meeting to discuss finances and other business, and, when applicable, conduct elections.

X. VICE PRESIDENT

a. Shall conduct the weekly meeting in the absence of the President.

b. Shall maintain the referral system basket, pads, weekly referrals.

c. Shall appropriately distribute referrals to the members.

d. Shall keep record of excused and unexcused absences from the weekly sign-in sheets, and then shall deliver the sign in sheets to the secretary for keeping.

e. Shall notify the membership when any member has had six unexcused absences in any year, or a total of twelve absences in any year, excused or unexcused, so that the membership may take whatever action it may deem necessary in that regard.

f. Shall be chairman of the membership committee and shall notify prospective members of their acceptance/non acceptance into the club. The committee will include two other club members, appointed by the President.

XI. TREASURER

a. Shall collect all dues and membership fees and maintain records of such payments.

b. Shall make disbursements to pay organization expenses for the weekly meal, and as otherwise directed or authorized by the membership, and shall keep records of all organization expenditures.

c. Shall prepare and distribute a monthly accounting to the members of their financial obligations and shall notify any member in the event he or she is in arrears in dues payment.

d. Shall collect from personal guests who are not first time prospective members, a fee for the weekly meal in such amount as may be determined by the membership from time to time.

e. When requested by the membership, shall provide information concerning the financial status of the club.

XII. SECRETARY

a. Shall maintain a calendar indicating when each member is due to speak. Speakers shall be scheduled in alphabetical order by business name.

b. At each meeting shall notify the membership as to who is scheduled to speak at the next two following meetings.

c. Shall keep minutes of all business meetings of the membership.

d. Except as otherwise provided herein, shall keep and maintain all of the records and documents of the organization.
